WooBlitz Terms of Service

These Terms of Service, along with Our Privacy Policy, Acceptable Use Policy, and other referenced terms and policies, constitute an agreement (“Agreement”) between You (“Customer”, “You”, or “Your”) and WooBlitz, LLC, a Delaware limited liability company (“WooBlitz”, “We”, “Us”, or “Our”). This Agreement outlines the terms and conditions governing Your use of the WooBlitz platform, applications, tools, templates, and other products and services (collectively, the “Services”).
By using or accessing Our Services, You agree to this Agreement, which supersedes any prior agreements between You and Us concerning the Services. We reserve the right to update or modify this Agreement at any time, with changes becoming effective upon:
- Our email notification to You,
- Your electronic acceptance of the revised Agreement, or
- Your continued use of the Services.
If You do not agree to these Terms, You must stop using Our Services immediately.
1. Account & Ownership
1.1 Registration: You must register for an account (“Account”) to access the Services by providing accurate information, including Your full legal name, address, phone number, and a valid email address.
1.2 Point of Contact: You must designate a single “Point of Contact” who has the authority to make binding decisions on Your behalf. Only the Account owner or designated Point of Contact can make changes or cancel the Account.
1.3 Security: You are responsible for maintaining the security of Your Account credentials. We are not liable for any loss resulting from unauthorized access due to Your negligence.
1.4 Ownership Disputes: In case of an ownership dispute, We may request supporting documentation (such as a business license, government ID, or payment details) and retain the right to determine the rightful owner.
2. Our Services
2.1 Overview: WooBlitz provides a WooCommerce-powered SaaS platform that enables users to quickly create and manage online stores. Our Services include web hosting, website creation tools, and eCommerce functionalities.
2.2 Plans & Limits: Our Services are available through various subscription plans, each with specific limits and fees. We reserve the right to charge overage fees or automatically upgrade You to a plan that matches Your usage.
2.3 Service Modifications: We may update, modify, or discontinue any Service feature at any time. If Your site is affected by an update, it is Your responsibility to make necessary adjustments to non-WooBlitz-provided code.
2.4 Security & Traffic Management:
- We may throttle traffic, quarantine sites, or perform DDoS mitigation without prior notice to protect Our Services and customers.
- If Your site is the target of an attack, We may take necessary action, including temporarily suspending access.
2.5 Data Hosting: WooBlitz servers are hosted in the United States and are subject to U.S. laws.
2.6 Technical Support: Support is available only to paying users as per their subscription plan.
3. Your Obligations & Acceptable Use
3.1 General Restrictions: You must not use Our Services to:
- Distribute spam, phishing content, or malware.
- Host illegal content, including counterfeit products or stolen data.
- Overburden Our servers by running scripts or excessive queries.
- Interfere with the security or performance of Our platform.
3.2 Compliance: You are responsible for ensuring that Your Site and content comply with all applicable laws, including privacy laws, intellectual property rights, and consumer protection regulations.
3.3 Ownership & Liability: Your website, its content, and transactions are entirely Your responsibility. WooBlitz does not provide legal or compliance advice.
4. Your Content
4.1 User Responsibility: You retain ownership of all content You upload (“Your Content”). However, You grant WooBlitz a worldwide, royalty-free, non-exclusive license to host and process Your Content as required to provide Our Services.
4.2 Data Security: We do not guarantee backups of Your data. You are responsible for maintaining backups of Your Content.
4.3 Content Removal: We may remove or suspend Your Content if it:
- Violates Our Acceptable Use Policy.
- Infringes on a third party’s intellectual property.
- Contains malware or other harmful elements.
5. Fees & Payment
5.1 Subscription Fees: Paid plans require upfront payment before activation. Fees are listed on Our website and may include subscription, transaction, and overage fees.
5.2 Auto-Renewal: Subscription plans renew automatically unless You cancel before the renewal date.
5.3 Refunds: All fees are non-refundable, except where required by law or if We terminate Your Service without cause.
5.4 Late Payments & Suspension:
- Late payments incur penalties of 1.5% per month or the maximum allowed by law.
- Accounts past due by 30 days may be permanently disabled.
6. Intellectual Property
6.1 WooBlitz Property: All platform-related materials, designs, and technology are the property of WooBlitz, LLC or its licensors.
6.2 Trademarks: You may not use WooBlitz trademarks or branding without prior written permission.
6.3 Your Trademarks: By using WooBlitz, You grant Us the right to display Your store name and branding for marketing purposes.
7. Termination & Suspension
7.1 Account Suspension: We may suspend or terminate Your access without notice if You violate this Agreement, engage in illegal activity, or pose a security risk.
7.2 User-Initiated Termination: You may cancel at any time, but no refunds will be issued. You are responsible for migrating Your website content before termination.
7.3 Effect of Termination: Upon termination:
- Your Account and website will be deactivated.
- You remain liable for outstanding fees.
- Sections related to fees, warranties, indemnification, and liability will survive termination.
8. Disclaimers & Limitation of Liability
8.1 No Warranty: WooBlitz provides the Services “as is” and makes no guarantees regarding uptime, performance, or merchantability.
8.2 Liability Cap: In no event shall WooBlitz be liable for damages exceeding the amount You paid for Services in the last 12 months.
8.3 Third-Party Services: WooBlitz is not responsible for third-party applications, integrations, or plugins used with Your store.
9. Governing Law & Dispute Resolution
9.1 Jurisdiction: This Agreement is governed by the laws of Delaware, USA.
9.2 Dispute Resolution: Disputes shall be resolved in Delaware courts, and You agree to waive the right to class actions.
